Clinic Partner Program – Terms & Conditions
Effective Date: The date on which the Clinic electronically agrees to and submits this Agreement
By enrolling in the Haro Health Clinic Partner Program (the “Program”), you (“Clinic”, “Provider”, or “You”) agree to be bound by the following Terms & Conditions (the “Terms”). These Terms constitute a legally binding agreement between you and Haro Health (“we”, “us”). Participation in the Program is voluntary and non-exclusive. Please read these Terms carefully before accepting.
1. Program Overview
1.1 Program Description
The Haro Health Clinic Partner Program allows participating clinics to promote Haro Health’s over-the-counter health products (the “Products”) to patients and customers on a cash-pay, out-of-pocket basis only. Haro Health may provide the Clinic with a unique referral code, link, QR code, or similar tracking mechanism to facilitate eligible purchases without transmitting patient health information. Participation does not require exclusivity, impose quotas, require product recommendations, or influence clinical decision-making.
1.2 Compliance With Law
The Program is designed to comply with all applicable federal and state laws, including the Federal Anti-Kickback Statute and applicable fee-splitting and professional conduct rules. The Products are OTC items and are not reimbursable by Medicare, Medicaid, or any third-party payer. No compensation under this Program is paid in exchange for patient referrals, prescriptions, or clinical decisions.
2. Eligible Purchases & Revenue Share
2.1 Eligible Purchases
An Eligible Purchase is a completed purchase of a Product using the Clinic’s assigned referral mechanism, paid entirely out-of-pocket, not reimbursed by insurance, and not paid using HSA, FSA, or similar tax-advantaged accounts. Purchases billed to or reimbursed by any third-party payer are not eligible.
2.2 Revenue Share
For each Eligible Purchase, Haro Health will pay the Clinic a marketing and fulfillment fee (the “Revenue Share”) calculated as a flat 16.00% of Net Sales. “Net Sales” means the product price actually received by Haro Health, excluding taxes, shipping, discounts, refunds, chargebacks, and promotional credits. Revenue Share compensation is paid solely for marketing support and patient education and not for referrals, prescriptions, or medical services.
2.3 Payment Terms
Revenue Share is calculated monthly. A 30-day clearance period applies to allow for returns, fraud review, and chargebacks. Payments are issued via ACH once the accrued balance reaches $500 minimum. Clinic must provide valid tax and payment information (W-9, ACH details). Haro Health does not guarantee revenue and makes no representations regarding sales volume.
2.4 Adjustments & Clawbacks
Haro Health reserves the right to withhold, reverse, or claw back Revenue Share associated with returns, chargebacks, fraud, invalid transactions, or misuse of referral codes.
2.5 Geographic Limitation
Revenue Share applies only to Eligible Purchases made by customers located in the state(s) where the Clinic is legally licensed or operating.
3. Wholesale Purchasing (Optional)
Clinics may optionally purchase Products at wholesale pricing for in-office resale. Wholesale purchases do not earn Revenue Share. Clinic acts as an independent reseller. All wholesale sales are final except for defects or shipping errors. Clinic is solely responsible for resale pricing, tax collection, storage, marketing claims, and legal compliance.
4. Clinic Responsibilities
4.1 Patient Disclosure
Clinic agrees to disclose clearly and conspicuously that the Clinic may receive a financial benefit if a patient purchases a Product and that use of a referral code may provide the patient with a discount. Disclosure must occur before or at the time of the purchase decision.
4.2 No Influence on Clinical Judgment
Nothing in this Program may influence medical judgment. Clinic retains full discretion to recommend or not recommend any product.
4.3 Healthcare Law Compliance
Clinic agrees to comply with all applicable healthcare, licensing, advertising, and professional conduct laws. If participation poses a legal or ethical concern, either party may suspend or terminate participation.
4.4 No Patient Health Information
Clinic shall not share PHI or patient-identifiable medical information with Haro Health. Referral tracking is anonymous and non-clinical.
4.5 Marketing Practices
Clinic may not make false, misleading, or unapproved health claims. All marketing must comply with FDA and FTC guidelines.
5. Term & Termination
Either party may terminate with 30 days written notice. Immediate termination is permitted for legal or compliance risk. Upon termination, referral access may be deactivated. Earned Revenue Share remains subject to reconciliation and clawback.
6. Independent Contractor Relationship
Nothing in this Agreement creates a partnership, joint venture, employment relationship, or agency relationship. Clinic is an independent participant and responsible for its own taxes and compliance obligations.
7. Limitation of Liability
Haro Health shall not be liable for indirect, incidental, consequential, or punitive damages arising from participation in the Program. Aggregate liability shall not exceed amounts paid to the Clinic in the prior twelve (12) months.
8. Governing Law
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-laws principles. Exclusive jurisdiction lies in Georgia state or federal courts.
9. Acceptance
By accepting these Terms electronically, you acknowledge that you have read and understood this Agreement, you are authorized to bind the Clinic, and you agree to all terms herein. For questions, contact: providers@harohealth.com.

This Privacy Policy about affiliate marketing of Haro Health: Affiliate marketing system describes how we may collect and use personal data and the rights granted to merchants, affiliates and customers regarding their respective data.
By joining the Affiliate program, you signify your approval of the terms set out in this Privacy Policy, and other terms and conditions. If you do not agree to this Privacy Policy, you must not use the affiliate marketing system.
We may update this Privacy Policy from time to time in order to reflect, for example, changes to our privacy practices or for other operational, legal, or regulatory reasons. By continuing to our affiliate program after these changes are posted, you agree to the revised policy.
Personal Information Controller
Any personal information provided to or gathered by Haro Health under this Privacy Notice will be stored and controlled by Haro Health (the data controller).
Information collected from Merchants
When merchant uses the app, we are automatically able to access certain types of information from your Shopify account such as email, first name, last name, shop information (shop domain, shop currency, shop address…). We collect this information to provide you with our Services; for example, to confirm your identity, contact you, provide customer support when you contact us, provide you with advertising and marketing activities.
Information collected from Affiliates
When an affiliate signs up to join a program, we collect some information to inform merchants such as email, personal information, payment details and social network information. The information would help merchant evaluate the affiliate background and potential, along with process specific activities within the app and contact the affiliate if needed.
Information collected from Customers when visiting merchant website
In order to track referral order, when customers visit merchant website and make a purchase, Haro Health system will collect information of order such as total order, order items, order ID.
About Cookies
“Cookies” are data files that are placed on your device or computer and often include an anonymous unique identifier. Cookies are created when a user’s browser loads a particular website. The website sends information to the browser which then creates a text file. Every time the user goes back to the same website, the browser retrieves and sends this file to the website’s server. Because cookies allow you to take advantage of some of affiliate marketing system’s essential features, we recommend that you leave them turned on.
Information sharing
Ensuring your privacy is important to us. We do not share your personal information with third parties except as described in this privacy policy. We may share your personal information with third-party service providers who we employ to process specific functions; examples include providing email marketing activity, analyzing data and other marketing support. Third-party service providers have access to personal information only as needed to perform their functions and they must process the personal information in accordance with this Privacy Policy. We may also disclose your personal information to any third party with your prior consent.
Use of Haro Health by Children
Haro Health is not intended for children. If you are under 13, you may use the affiliate marketing system only with the supervision of your parents or guardian.
Your Rights
Haro Health understands that you have rights over your personal information, and takes reasonable steps to allow you to access, correct, amend, delete, port, or limit the use of your personal information. If you are using the system and wish to exercise these rights, please contact us through providers@harohealth.com. We may require that you provide us with acceptable verification of your identity before providing access to such information. If you are an affiliate and wish to exercise these rights, please contact the merchant you interacted with directly — we serve as a processor on their behalf, and can only forward your request to them to allow them to respond.
